By subscribing to, accessing, or using jagaSTAFF (“Service”), you (“Customer/You”) agree to these Terms & Conditions.
1. Definitions
“Service”: The jagaSTAFF HR management platform, including HR records, attendance, leave, payroll, claims, reporting, and related features.
“Subscription”: A paid plan billed monthly or annually.
“Account”: The organization account created by Customer.
“Customer Data”: All data uploaded to or processed through the Service by Customer.
2. Account Registration & Eligibility
- You confirm you have the authority to register and subscribe on behalf of your organization.
- You agree to provide accurate and up-to-date information.
- You are responsible for maintaining account security (password, access, user permissions).
3. Scope of Service
- Features, limits, and access depend on the Subscription plan selected (e.g., number of employees/admins, storage, modules).
- We may improve, modify, or discontinue certain features for product enhancement, compliance, or security. Where practical, we will provide reasonable notice for material changes.
4. Fees, Billing & Taxes
- Subscription fees are charged based on the plan shown at checkout (or official quotation/invoice).
- Subscription fees are paid in advance (monthly/annually).
- Prices may be exclusive of applicable taxes (e.g., SST) unless stated otherwise. If tax applies, it will be shown on the invoice.
- Failure to pay may result in account suspension, restricted access, or termination.
5. Auto-Renewal
- Subscriptions renew automatically at the end of each billing period unless canceled before renewal.
- You authorize us (and our payment provider) to charge renewal fees based on your selected plan and billing cycle.
6. Cancellation Policy
- You may cancel your Subscription at any time via your account portal or by contacting support.
- Cancellation takes effect at the end of the current paid billing period (you retain access until that period ends).
- No further charges will be made after cancellation becomes effective, subject to any outstanding invoices or approved add-on usage (if applicable).
7. Refund Policy
Because the Service is digital and access is provided immediately, Subscription fees are generally non-refundable, except as described below.
7.1 Refunds may be granted (case-by-case) for:
- Duplicate charges for the same transaction; or
- Unauthorized/incorrect charges verified by us; or
- Major service outage caused by us that materially prevents use of the Service for a continuous period, after we have been given a reasonable opportunity to fix the issue.
7.2 Refunds will NOT be granted for:
- Change of mind after activation;
- Non-usage or low usage;
- Customer error (wrong plan selection, wrong billing cycle, wrong user setup), unless reported immediately and before material usage;
- Issues caused by Customer’s internet, devices, configurations, third-party systems, or external factors beyond our control;
- Account suspension/termination due to violation of these Terms.
7.3 Refund request window
Refund requests must be submitted within 7 days from the billing/charge date and include proof of payment and explanation of the issue.
7.4 Refund processing
- If approved, refunds will be returned to the original payment method (or another method mutually agreed). Processing time depends on your bank/payment provider.
- Alternative to refund: We may offer account credits or subscription extension instead of cash refund where appropriate.
8. Trial (If Applicable)
If a free trial is offered:
- Trial access is limited to the trial period and trial features.
- After trial ends, paid subscription begins only if you proceed with payment (unless otherwise stated in your trial terms).
9. Acceptable Use
You agree NOT to:
- Copy, resell, reverse engineer, or exploit the Service without written permission;
- Attempt unauthorized access, disrupt systems, or compromise security;
- Upload unlawful, harmful, infringing, or abusive content.
10. Customer Data, Privacy & Security
- Customer Data remains owned by the Customer.
- You grant us permission to process Customer Data only to provide and improve the Service (e.g., payroll calculations, reporting, notifications).
- We apply reasonable security measures, but no system is 100% risk-free.
11. Customer Responsibilities
- You are responsible for the accuracy of all information entered (e.g., salary figures, deductions, leave records).
- You are encouraged to export and keep backups of critical records as needed.
12. Availability & Maintenance
- We aim for reliable availability, but downtime may occur for scheduled maintenance or circumstances beyond our control.
- Where practical, scheduled maintenance will be communicated in advance.
13. Intellectual Property
All intellectual property rights in the Service (software, design, branding, content) belong to jagaSTAFF and/or its licensors, excluding Customer Data.
14. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages (loss of profits, loss of data, business interruption).
- Our total liability (if any) is limited to the Subscription fees paid by you in the last 3 months before the event giving rise to the claim.
15. Suspension & Termination
We may suspend or terminate your account if:
- Fees are overdue;
- You violate these Terms;
- Your activities pose security risks or harm to the Service or others.
16. Notices
Notices may be provided via registered email, in-app notifications, or announcements on the website.
17. Changes to These Terms
We may update these Terms from time to time. The latest version will be posted on our website and becomes effective on the stated effective date.
18. Governing Law & Jurisdiction
These Terms are governed by the laws of Malaysia, and disputes are subject to the courts of Malaysia.
